1. Acceptance of These Terms
These Terms & Conditions ("Terms") form a legally binding agreement between you and SoftPlex Inc. ("SoftPlex", "we", "our", or "us") governing your download, installation, and use of the Refile Android application (the "App"), distributed through Google Play.
By installing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App, and uninstall it if already installed. Your use of the App is also subject to the Google Play Terms of Service.
2. About Us
SoftPlex Inc. is the developer and publisher of Refile. Our registered business address is in Halifax, Nova Scotia, Canada, with operations in Niigata, Japan, and technical leadership based in Poland, European Union. You can reach us at support@softplex.io.
3. The Service
Refile is a file manager for Android phones, tablets, Chromebooks, and Android TV. Its features include, among others:
- File management: browsing, opening, copying, moving, renaming, deleting, compressing, extracting, searching, and tagging files and folders on your device, SD cards, and USB drives, with windows, tabs, and a split view.
- Viewers and editors: images, video, audio, PDF, e-books and comics, text and code, archives, APK files, and a hex editor.
- Clean up and storage tools: a storage analyzer, duplicate-file finder, Recycle Bin, App Manager, and storage benchmark.
- Cloud and network locations: Google Drive, Dropbox, Microsoft OneDrive, S3-compatible storage, and SMB, FTP, SFTP, and WebDAV servers.
- Sharing: View on PC (a web file manager served from your device), an FTP server, nearby transfer over Wi-Fi Direct, casting, and Safedrop protected sharing.
- Protection: an encrypted Vault and an optional app lock.
- Advanced tools: folder compare and sync, root and other elevated access, a terminal, and automation for apps such as Tasker.
- Personalisation: themes, skins, app icons, and customisable toolbars.
The core file-management features are free. Some additional features require Refile Pro (see §12). The App has no SoftPlex account and no SoftPlex server, and shows no advertising, as described in our Privacy Policy.
4. Eligibility
You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the App. If you are under the age of majority where you live, you may use the App only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.
5. License to Use the App
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on Android devices that you own or control, for your personal or internal business use.
The App is licensed for installation from Google Play. Copies installed from other sources may refuse to run and ask you to install the App from Google Play instead.
You may not, except to the extent permitted by applicable law:
- copy, modify, distribute, sell, rent, lease, or sublicense the App or any part of it;
- reverse engineer, decompile, or disassemble the App, or attempt to derive its source code;
- remove or alter any copyright, trademark, or other proprietary notices;
- use the App to build a competing product or service.
The App includes open-source components that are licensed to you under their own licenses; nothing in these Terms limits your rights under those licenses.
6. Your Files, Deletions & Backups
Refile acts on your files exactly as you instruct it to, and some actions cannot be undone. Keep regular backups of anything important, on a separate device or service, before you delete, move, overwrite, sync, or shred files, or use elevated access.
In particular:
- Deleting. With the Recycle Bin turned on, deleted local files are kept until you empty it or until they expire under the retention setting you choose. Files deleted with the Recycle Bin turned off, files deleted permanently, and files deleted from network locations are gone. Files deleted from cloud storage are handled by the provider (for example, Google Drive moves them to its trash).
- Overwriting. When you choose to replace an existing file during a copy, move, extract, or save, the previous version is lost.
- Sync. Folder sync copies files according to the mode you pick. A mirror sync makes the destination an exact copy of the source, which deletes files in the destination that are not in the source. Review the preview before you run a sync or schedule one.
- Secure shred. Shredding overwrites a file before deleting it, so it cannot be restored from the Recycle Bin or by Refile. Because of how flash storage, file systems, and backups work, we cannot guarantee that every copy of the data is unrecoverable by other means.
- Interruptions. An operation that is interrupted (for example by a removed SD card or USB drive, a lost network connection, low battery, or the system stopping the App) may leave files incomplete. Refile verifies and resumes many operations, but cannot guarantee the result in every case.
- Settings backups. Settings backups contain your preferences and, only if you choose, your saved accounts encrypted with a password you set. They do not back up your files.
You are responsible for the files you manage with the App and for making sure you have the right to access, copy, modify, share, and delete them.
7. Vault, Safedrop & Passwords
We cannot recover a forgotten password. Files in the Vault are encrypted on your device with a key protected by your vault password. Files protected with Safedrop can only be opened with a matching key. SoftPlex never has your passwords or keys, so if you forget a password or lose a key, the protected files cannot be recovered by you or by us.
The Vault and its keys are kept on your device and are not included in Android's backup. Safedrop keys are sealed with a key that never leaves your device, so they cannot be used from a backup restored on another device. Clearing the App's data or uninstalling the App deletes them. Move files out of the Vault, and export any Safedrop keys you still need, before you reset or change devices. You are responsible for whom you give a Safedrop key to and for the permissions you attach to it.
8. Root, Elevated Access & System Changes
Some features can use elevated access, if you choose to grant it, through root (superuser) access, Shizuku, or wireless debugging. With elevated access the App can read and change system and app files and settings that Android normally protects. The App does not root your device and does not help you root it.
Changing system files or other apps' data can make apps or your device stop working, cause data loss, or require a factory reset. Use elevated access, the terminal, the App Manager's system actions, and APK installation only if you understand what you are doing. Rooting a device is done at your own risk and may void your warranty, violate your manufacturer's or carrier's terms, or weaken your device's security.
You are responsible for granting and managing these permissions, for the commands and changes you make, and for the apps you install with the App. Only install APK files from sources you trust.
9. Cloud Storage, Network Locations & Sharing
- Your accounts. When you connect a cloud service or server, you use your own account with that provider, under the provider's terms. You are responsible for the credentials you save in the App and for keeping them up to date. Transfers to and from these services depend on the provider and your connection; we do not control their availability, limits, or fees.
- Servers on your device. View on PC and the FTP server let other devices on your network reach the folders you share while the server runs. Anyone who has the address and credentials can read, and where permitted change, those files. Set a password, share it only with people you trust, avoid untrusted networks, and stop the server when you are done.
- Sending files. Nearby transfer, casting, and sharing send files to the device, person, or app you choose. Once a file has been sent, we cannot recall it.
- Downloads and subtitles. The download manager connects to the web addresses you give it, and subtitle search uses the OpenSubtitles API key you provide. You are responsible for what you download and for complying with the terms of those websites and services.
10. Automation
Refile can accept file actions from automation apps (such as Tasker) that you approve. An approved app can ask Refile to perform the actions allowed by the automation feature, including actions that change or delete files. Approve only apps you trust, and check your automations before you rely on them. You are responsible for actions carried out through automations you set up.
11. Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. In particular, you agree not to:
- access, copy, or share files, devices, servers, networks, or accounts that you are not authorised to use;
- use the App to store, share, or distribute content that infringes others' rights or is unlawful;
- use the App's servers or sharing features to expose other people's data without their permission;
- circumvent, disable, or tamper with the App's licensing, purchase verification, or security features, including the Vault and app lock;
- interfere with or disrupt the App or the third-party services it relies on.
12. Refile Pro, Free Trial & Payments
Refile Pro unlocks additional features, such as extra skins and the skin editor, folder sync, View on PC, more than one cloud account, automation, and separate viewer tabs. The features included in Pro are listed in the App and may change over time. The core file-management features, the Vault, and the app lock are free.
Products
- Lifetime. A one-time, non-consumable purchase that unlocks Refile Pro with no recurring charge.
- Yearly subscription (where offered). A subscription that unlocks Refile Pro for a year at a time and renews automatically at the price shown in Google Play unless you cancel it at least 24 hours before the renewal date. You can cancel at any time in the Google Play Store app (Payments & subscriptions → Subscriptions); Pro then remains available until the end of the period you have paid for.
Free trial
The App may offer a free trial of Refile Pro, currently 7 days, started from within the App. The trial requires no payment and does not turn into a paid purchase or subscription. It is offered once per user; a record that you have used it is kept on your device and in your Android backup. The availability and length of the trial may change.
Billing and entitlement
- Purchases are processed by Google Play Billing under Google's payment terms. We do not receive or store your payment details. Prices are shown in Google Play before you buy and may include taxes.
- Your purchase is tied to your Google account and is restored on devices signed in to the same account, subject to Google Play's rules. The App checks your purchase with Google Play and may need to reconnect to Google Play from time to time to keep Pro unlocked.
- If a payment is pending (for example, a cash or bank-transfer payment), Pro unlocks once Google Play confirms the payment.
When Pro ends
When a trial or subscription ends, or a purchase is refunded or cancelled, the Pro features lock again. Your files, settings, and data are not deleted. For example, a Pro skin in use switches back to a free skin, scheduled syncs are kept but do not run, and cloud accounts you have already connected keep working.
Refunds and price changes
Refunds are handled through Google Play in accordance with the Google Play refund policy and any statutory rights you have, including any right of withdrawal you may have as a consumer in your jurisdiction. Except where required by law, purchases are non-refundable. We may change prices for future purchases. Google Play notifies subscribers of price increases as its policies require, and a price change does not affect a Lifetime purchase you have already made.
13. Third-Party Services
The App relies on third-party services, including Google Play, Google Play Billing, Google Play services, Firebase Analytics, Crashlytics, and Remote Config, and, only if you use them, Google Drive, Dropbox, Microsoft OneDrive, S3-compatible storage providers, Google Cast, OpenSubtitles.com, and Shizuku. Each is governed by its own terms and privacy policy. We do not control these services and are not responsible for their availability, conduct, or changes, including changes that stop a feature from working. Your use of them may create a direct relationship between you and the relevant provider.
Refile is not endorsed by or affiliated with Google, Dropbox, Microsoft, Amazon, or the other providers it connects to.
14. Intellectual Property
The App, including its software, design, graphics, icons, skins, text, and trademarks (including "Refile" and "SoftPlex"), is owned by SoftPlex Inc. or its licensors and is protected by copyright, trademark, and other intellectual-property laws. These Terms grant you only the limited license described in §5; no other rights are granted or implied.
Your files remain yours, and we claim no rights in them. Skins you create or import are your responsibility: only use and share images and designs you have the right to use. Third-party product and service names are the trademarks of their respective owners and are used only to identify compatibility.
15. Updates, Availability & Remote Configuration
We may release updates, fixes, and new features from time to time, and some may be required for the App to keep working. The App may check for updates through Google Play and offer to download and apply them in-app. Some settings, such as how often the App checks for updates, may be adjusted remotely without an app update.
We may modify, suspend, or discontinue the App or any feature at any time without liability to you, to the extent permitted by law. Features that depend on Android, your device, or third-party services may change or stop working when those change. Buying Refile Pro does not entitle you to any feature remaining available in the form it had when you purchased, except as required by law.
16. Privacy
Our collection and use of information in connection with the App is described in the Refile Privacy Policy, which forms part of these Terms. In short: your files are processed on your device or between your device and the services you connect; the App has no SoftPlex account or server; saved passwords and tokens are encrypted on your device; and optional usage statistics and crash reports, which you can turn off, are sent through Firebase.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT FILE OPERATIONS, TRANSFERS, SYNCS, OR BACKUPS WILL COMPLETE OR BE FREE OF DATA LOSS, THAT DELETED OR SHREDDED DATA CAN OR CANNOT BE RECOVERED, THAT ENCRYPTION WILL PROTECT YOUR DATA AGAINST EVERY THREAT, THAT ANY CLOUD SERVICE, SERVER, OR DEVICE WILL BE COMPATIBLE, OR THAT THE APP WILL MEET YOUR REQUIREMENTS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Nothing in these Terms limits any consumer rights that cannot be waived under applicable law.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFTPLEX INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OR CORRUPTION OF FILES OR DATA, LOSS OF PROFITS OR GOODWILL, OR DAMAGE TO YOUR DEVICE, OPERATING SYSTEM, OR OTHER APPS (INCLUDING LOSS ALLEGED TO RESULT FROM A DELETION, OVERWRITE, MIRROR SYNC, SHRED, INTERRUPTED TRANSFER, FORGOTTEN VAULT PASSWORD OR LOST KEY, A SERVER OR SHARE YOU STARTED, AN AUTOMATION YOU APPROVED, OR CHANGES MADE WITH ROOT OR OTHER ELEVATED ACCESS), ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE APP.
TO THE SAME EXTENT, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) TEN CANADIAN DOLLARS (CAD $10).
19. Indemnification
You agree to indemnify and hold harmless SoftPlex Inc. from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the App, or files you access, share, or distribute with the App without the right to do so, to the extent permitted by applicable law.
20. Termination
These Terms remain in effect while you use the App. You may end them at any time by uninstalling the App. Uninstalling does not cancel a subscription; cancel it in Google Play (see §12). We may suspend or terminate your license if you materially breach these Terms. Upon termination, the license in §5 ends and you must cease using the App; sections that by their nature should survive (including §6, §7, §14, §17–§19, and §21) survive termination. Termination does not entitle you to a refund except as provided by Google Play's policies or applicable law.
21. Governing Law
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection laws in your country of residence that grant you the right to bring proceedings locally, the courts of Nova Scotia, Canada shall have jurisdiction over disputes arising from these Terms.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes in the App, the law, or our practices. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide notice within the app. Continued use of Refile after changes take effect constitutes acceptance of the revised Terms.
